1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Invoice My Clients LLC ("Company," "we," "our," or "us") regarding your use of our financial technology software-as-a-service platform (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Invoice My Clients LLC provides a cloud-based financial technology platform that offers invoicing, payment processing, financial analytics, banking services, proposals, and other financial services. Our Service enables users to effectively run financial operations for their business.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use our Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3.2 Business Accounts

For business accounts, you represent that:

  • You are authorized to bind the entity to these Terms
  • The entity is validly existing and in good standing
  • You have the authority to make financial decisions for the entity

3.3 Account Verification

We may require identity verification, including but not limited to:

  • Government-issued identification
  • Proof of address
  • Financial documentation
  • Business registration documents
  • Compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) requirements

4. Acceptable Use

4.1 Permitted Use

You may use our Service only for lawful business purposes in accordance with these Terms and applicable laws.

4.2 Prohibited Activities

You agree not to:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading activities

  • Violate card network rules (Visa, Mastercard, etc.)

4.3 Restricted Businesses

The Service may not be used for:

  • Adult entertainment or services
  • Gambling or gaming
  • Illegal substances or paraphernalia
  • Weapons or ammunition
  • Counterfeit goods
  • Pyramid or Ponzi schemes
  • High-risk financial services
  • Media storage beyond the scope of the services offered within

5. Fees and Payment Terms

5.1 Service Fees

You agree to pay all applicable fees as outlined in your service agreement or pricing schedule. Fees may include:

  • Monthly or annual subscription fees
  • Transaction-based fees
  • Processing fees
  • Premium feature charges

5.2 Payment Processing

  • Fees are charged automatically to your designated payment method
  • You authorize us to charge your payment method for all fees
  • All fees are non-refundable unless otherwise specified
  • You are responsible for all taxes related to your use of the Service

5.3 Fee Changes

We may change our fees with 30 days' written notice. Continued use of the Service after fee changes constitutes acceptance.

6. Financial Services and Compliance

6.1 Regulatory Compliance

Our Service is subject to various financial regulations. You acknowledge that:

11. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11.3 Financial Loss Disclaimer

WE ARE NOT LIABLE FOR ANY FINANCIAL LOSSES, BUSINESS INTERRUPTION, OR LOST PROFITS RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your violation of third-party rights

13. Termination

13.1 Termination by You

You may terminate your account at any time by following the account closure procedures in the Service.

13.2 Termination by Us

We may suspend or terminate your access immediately for:

  • Violation of these Terms
  • Suspected fraudulent or illegal activity
  • Regulatory or compliance requirements
  • Non-payment of fees
  • Risk management purposes

13.3 Effect of Termination

Upon termination:

  • Your license to use the Service ends immediately
  • We may delete your data after a reasonable period
  • Outstanding fees remain due and payable
  • Surviving provisions of these Terms remain in effect

14. Dispute Resolution

These Terms are governed by the laws of Delaware without regard to conflict of law principles.

15.4 No Waiver

Our failure to enforce any provision does not constitute a waiver of our rights.

15.5 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations at any time.

15.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

16.1 FDIC Insurance

Funds held in connection with the Service may or may not be eligible for FDIC insurance. Please review the specific terms of your account.

16.2 Investment Advice

We do not provide investment advice. Any information provided is for educational purposes only.

16.3 Licensing

Invoice My Clients LLC is registered as LLC in Delaware. License information is available upon request.
